Jakarta, March 17, 2023 – Integrated nickel mining and downstream company PT Trimegah Bangun Persada Tbk is planning to release its shares to the public through an Initial Public Offering (IPO) of as much as 12.1 billion shares on April 5 to 10 April 2023. This IPO share amount is equivalent to a maximum of 18% of the issued and paid-up capital to the public after the IPO with a nominal value of Rp100 per share. 
The initial offering or book building of shares named NCKL commenced on March 15-24, 2023. According to the plan, NCKL shares will be listed on the Indonesia Stock Exchange (IDX) on April 12, 2023.
 
President Director of PT Trimegah Bangun Persada Tbk, Roy A. Arfandy explained, "The Company expects to raise fresh funds of around USD 650 million (or around Rp9.7 trillion) to support the completion of project construction, increase production capacity, pay off some of the Company's loans, and additional working capital."
 
"PT TBP Tbk will also allocate a maximum of 0.5% or 60.5 million shares of the IPO shares for the Company's employee stock allocation (Employee Stock Allocation, ESA) program, where the ESA exercise price is the same as the offering price," Roy said in a press release on Friday (17/3).
 
PT TBP Tbk appointed PT BNP Paribas Sekuritas Indonesia, PT Citigroup Sekuritas Indonesia, PT Credit Suisse Sekuritas Indonesia, and PT Mandiri Sekuritas as joint lead underwriters. Meanwhile, PT UOB Kay Hian Sekuritas, PT OCBC Sekuritas Indonesia, and PT DBS Vickers Sekuritas Indonesia were appointed as underwriters.
 
Exciting information for prospective investors, PT TBP Tbk will distribute dividends to shareholders of at least 30% of net profit, depending on the Company's cash flow and investment plans, Indonesian laws and regulations, and other requirements. "The company has distributed dividends since 2012 and plans to distribute dividends using the 2022 financial year, which will be distributed in 2023," Roy said.
 
PT TBP Tbk is a well-established company with upstream and downstream capabilities in the nickel industry. This is demonstrated by its good, professional operations and prioritizing sustainable environmental management for more than 10 years in Obi Island, South Halmahera, and North Maluku. The company is also confident about the future of its nickel processing business.
 
"PT TBP Tbk's focus is to become an integrated nickel mining and processing company from upstream to downstream," Roy added. The upstream sector is nickel ore mining, which produces saprolite and limonite. While the downstream is smelting and refining nickel ore, which produces Ferronickel as the main raw material for making stainless steel and MHP (Mixed Hydroxide Precipitate) as well as its derivative products, Nickel Sulfate and Cobalt Sulfate, which are the main raw materials for making electric vehicle battery precursors.
 
PT TBP Tbk currently operates two active nickel laterite mining projects covering 5,523.99 hectares in Kawasi Village, South Halmahera, North Maluku through two mining concessions. The Company also has two nickel mining prospects covering 3,660.24 hectares located on Obi Island.
 
Roy further added, " PT TBP Tbk is strategically positioned to benefit from the growing need for batteries in the electric vehicle industry, in response to energy transition initiatives. This will increase demand for both nickel ore and MHP."
 
Roy stated that PT TBP Tbk will continue to support the Government's nickel downstream program and expects to make a valuable contribution to the creation of a rechargeable battery industry ecosystem for electric vehicles in Indonesia.

Meanwhile, looking at its financial performance, PT TBP Tbk's revenue from contracts with customers reached IDR 9.04 trillion during the period from January to November 2022. Up 17.32% compared to the same period last year. PT TBP Tbk also recorded other income of Rp231.30 billion, an increase of 255.82% compared to the same period the previous year of Rp65 billion. The company also managed to reduce selling, general, and administrative expenses by 9.05% from Rp873.45 billion to Rp794.43 billion.
 
PT TBP Tbk's profit for the period shot up 207.95% from IDR 1.39 trillion as of November 2021 to IDR 4.30 trillion as of November 30, 2022. Earnings per share also rose from IDR23.16 per share to IDR78.63.
 
Next, PT TBP Tbk's total assets were recorded to have increased by 12.22% from IDR29.93 trillion as of September 30, 2022, to IDR33.59 trillion as of November 30, 2022. Total equity rose from IDR12.69 trillion to IDR13.97 trillion as of November 30, 2022, with total liabilities increasing from IDR17.24 trillion as of September 30, 2022, to IDR19.61 trillion as of November 30, 2022.

Trimegah Bangun Persada Aims to Raise IDR 9,7 Trillion IPO

Harita Nickel officially handed over the Obi sub-district office building that has completed its construction process to the Government of South Halmahera Regency. The handover ceremony was carried out by the Director of External Relations of PT Trimegah Bangun Persada (PT TBP) Stevi Thomas to the Regent of South Halmahera, Usman Sidik who also inaugurated the operation of the Obi Sub-district Office located in Laiwui, Obi Island, South Halmahera, on Sunday (5/3/2023). 
At the same time, Stevi Thomas also symbolically handed over the Sea Ambulance to the Regent of Halsel. This ambulance will be utilized for the needs of Obi-residents. In this inauguration ceremony, Stevi Thomas and Usman Sidik also signed an inscription. The inauguration ceremony was also attended by the Deputy Regent of South Halmahera, Hassan Ali Bassam Kasuba, elements of the South Halmahera Regional Leadership Communication Forum (Forkopimda), and a number of members of the South Halmahera DPRD.
For the record, the groundbreaking for the construction of the Obi Sub-district office building covering an area of 543 square meters was carried out in August 2022 last year. Its construction was able to empower local residents by employing around 50 local workers and was carried out by local contractors with supervision from the South Halmahera Perkim Office.

Director of External Relations of PT TBP, Stevi Thomas stated that in about eight months of construction, finally, the Obi Sub-district office building was ready to be occupied. "Obi, with all its activities and people, has become an important aspect of Harita Nickel," said Stevi. The support of residents, as well as other stakeholders, especially from the local government, Stevi continued to be important for Harita Nickel in providing smooth operations.
 
"On behalf of all management and employees, we thank you for this, on that basis we are also present here today in the inauguration of the new Obi District office building," said Stevi. Stevi added construction of the Obi District office by Harita Nickel is a kind of Harita Nickel's support to the South Halmahera Regency Government in improving services to the community.
 
"Hopefully with the operation of the Obi Sub-district Office can support the performance of Obi Sub-district government in terms of administrative services to the community in Obi Island," said Stevi. 
Stevi also emphasized that the sea ambulance donation was handed over to help improve and speed up health services for Obi residents. This transportation facility is a complement to Harita Nickel's contribution to supporting health services on Obi Island.
 "These donations can be considered as our support for the Government of South Halmahera Regency in improving services to the community," said Stevi. 
Previously in November 2022, Harita Nickel also handed over one unit of a Fire Fighting fleet (Damkar) and one unit of a Garbage Collection truck fleet worth Rp 2 billion to the Government of South Halmahera Regency.

Stevi added that the Community Development Team of Harita Nickel with fostered farmers in Buton Village had conducted a rice harvest last week. Through the Obi Food Security Center (SENTANI) program, farmers have harvested twice with yields increasing 5 times compared to before. 
"This is a great thing to be grateful for amidst the global food crisis," said Stevi. 
The yield of harvested dry grain (GKP) from the rice harvest this time reached 5.3 tons per hectare from a total of 12 hectares of paddy fields. This yield increased sharply compared to the previous harvest prior to the company's assistance, which was only 1 ton of GKP per hectare. "We also foster 15 other farmer groups / BUMDES in the Obi island area with various agricultural commodity cultivation, and the results are partly marketed to the company," explained Stevi.
Support for the community certainly does not stop there. In addition to facilities and infrastructure, the company continues to provide assistance and support in terms of health, education, and other programs in the economic, infrastructure, and socio-cultural fields. 
Stevi asserted that the assistance and success of various kinds of Community Empowerment & Development (PPM) programs are certainly not due to Harita Nickel itself, but thanks to the support of various parties, especially good cooperation with the community and assistance from the South Halmahera Regency Government. "All of this, of course, can be realized thanks to the synergy with the local government for one goal, that is, the welfare of the community. For this, once again we thank you," said Stevi.
Meanwhile, South Halmahera Regent Usman Sidik expressed his gratitude to Harita Nickel for helping to build the Obi Sub-District Office and also providing a Sea Ambulance for the Obi Sub-District community. "Obi Sub-district Office is arguably the most luxurious sub-district office in North Maluku, for that representing the Halsel Regency Government and the community I would like to thank Harita, this is very extraordinary, all community concerns are always supported by Harita Nickel," Usman said.
Usman added that the Obi Sub-District Office will also be used as the second regent's office, in addition to the Regency Capital, so when visiting Obi he can set up an office. "I will make this Obi sub-district office as my second office when visiting Obi. I will instruct the Head of Assets to organize my furniture on the second floor of this office," Usman said.

Harita Nickel Officially Handed Over Obi Subdistrict Office and Sea Ambulance to South Halmahera Regent

BINTAN, 1 February 2023 - Harita Nickel through its business unit, PT Trimegah Bangun Persada (PT TBP) won four awards in the Corporate Social Responsibility (CSR) and Sustainable Village Development (PDB) Awards 2023.&nbsp; 
The event organized by the Ministry of Villages, Development of Disadvantaged Regions and Transmigration (PDTT) in collaboration with the Indonesia Social Sustainability Forum (ISSF). Harita Nickel was entitled to three Gold Awards for three CSR programs or the Community Development & Empowerment Program (PPM) and one Silver Award for the individual category.
 
The award was presented by the Minister of Villages & PDTT, Abdul Halim Iskandar and received directly by Latif Supriadi, Deputy Head of Community Affairs Harita Nickel, on February 1, 2023 in Teluk Bakau, Bintan, Riau Islands Province to coincide with the BumDesa anniversary event.
 
The three Harita Nickel PPM Programs that won the Gold Rating award were the Gemar Papeda program (Independence Movement & Strengthening the Capacity of Village Business Actors), the Kawasi Unikk Program (Community Entrepreneurship Unit) and the Pijar Obi Program (Fulfillment of Basic Infrastructure for Obi Welfare). 
Meanwhile, the Silver Award in the Individual Category was won by Sari Windi Ashari for her role in fostering and empowering the women's MSME sector and local suppliers on Obi Island. Windi provides assistance to women's MSME groups and local suppliers through skills training, legality management, business assistance and monitoring and evaluation of community development and empowerment programs. 
The Gemar Papeda PPM program is a coaching program to involve local suppliers to become suppliers in the company's business chain, especially suppliers of food needs and employee canteens involving 55 local suppliers on Obi Island. Meanwhile, the Kawasi Unikk PPM Program is a community empowerment program, especially fostering women's MSMEs with various types of group businesses ranging from snack production, minimarkets, cafes and processing food products such as tempeh and tofu. This program is an empowerment for women's MSME groups with 31 members who are able to help improve family welfare. 
Furthermore, the PPM Pijar Obi Program is a program to provide access to electricity for 250 household connections in Kawasi Village, 34 underprivileged household connections in Tabuji Hamlet and connections for public facilities. In addition to helping the Government in terms of increasing the national electrification ratio, this program also provides many benefits for local residents, including children being able to study without being hampered by lighting.
 
Latif Supriadi expressed his gratitude for the highest award given to the three Harita Nickel PPM programs and also one of the Community Development employees. This award, said Latif, will motivate Harita Nickel to continuously contribute to building communities in the company's operational areas, especially in Obi Island, South Halmahera through its PPM program. According to Latif, this is in line with one of Harita Nickel's missions, which is to grow and develop with the community in the operational area. 
 
"Harita Nickel is ready to collaborate with communities around company operations to mobilize village potential to have an economic impact on the community through our PPM program," Latif said. 
 
Meanwhile Stevi Thomas, External Director of PT TBP added that Harita Nickel through its PPM program will have a sustainable contribution to the development of village potential and community empowerment around the company's operational area on Obi Island. Stevi continued that this is in line with government programs that have launched Village-Owned Enterprises (Bumdes) as new legal entities, where one of the directives is for state and private companies operating in villages to include Bumdes in their economic activities to accelerate the village economy. 
 
"Hopefully Harita Nickel's PPM programs will be able to support government programs in building villages in a sustainable manner so that it is expected to foster efforts to empower the economy of rural communities, especially on Obi Island," said Stevi. 
 
Meanwhile, there are two categories of awardees in the CSR & GDP Awards 2023, namely companies / other institutions, both BUMN and private; BUM Desa / BUM Desma, and individuals from both companies and local actors. The assessment by the jury for the Business Entity / Company category is carried out by assessing a number of indicators, including Program Planning, Program Implementation, Program Monitoring and Evaluation and Program Impact. 
 
While the assessment for the local actor category includes responsibility for the program, cooperation between actors and other parties who are able to support and develop the program, encourage the BUM Desa development program to be integrated with the Village Development program which is reflected in the APBDes Allocation and Facilitation of community involvement in the BUM Desa development program. 
 
For information, the CSR & PDB Awards 2023 program is the second time the event has been held and will continue on an annual basis. This year the award recipients are 54 BUMN and BUMS companies with a total of 72 programs and consist of three categories Gold, Silver and Bronze.

Harita Nickel Collects Four Awards at CSR and GDP Awards 2023

Harita Nickel through its business unit PT Trimegah Bangun Persada (PT TBP) achieved the Siddhakarya Productivity Award with Superior Qualification from the Government of North Maluku Province via the Department of Labor and Transmigration, North Maluku Province. The award was presented to PT TBP Management representatives by North Maluku Governor KH. Abdul Gani Kasuba was represented by Assistant Three for General Administration, Asrul Gailea in Ternate on Tuesday (27/12). 
The Siddhakarya productivity award is given by the governor every even year as an appreciation from the government to companies that have succeeded in increasing productivity for three consecutive years. The award is also given to companies that play a role in increasing productivity and also creating jobs and improving the welfare of the community. The Siddhakarya award at the North Maluku provincial level is classified into two categories: Superior Qualification and Developing Qualification. Only three companies achieved Superior Qualifications, one of which is PT TBP.
Director of External Relations of PT TBP, Stevi Thomas expressed his gratitude for the appreciation from the North Maluku Provincial Government through the Siddhakarya award. Meanwhile, North Maluku Governor KH. Abdul Gani Kasuba, represented by Assistant Three Asrul Gailea, expressed his appreciation to the companies that received the Siddhakarya award. PT TBP Receives Siddhakarya Productivity Award with Superior Qualification from North Maluku Provincial Government

Halmahera Selatan - HARITA Nickel in collaboration with the Faculty of Fisheries and Marine Science (FPIK) Khairun University Ternate North Maluku has been consistent in mangrove rehabilitation efforts on the coast of Soligi Village, Obi Island, South Halmahera. More than just planting, the mangrove ecosystem is also maintained with regular monitoring, preserving the planted and replanting seedlings.
 
Replanting is about replacing a dead mangrove seedling with a new one. This activity is carried out by involving and empowering local community groups. This effort is expected to continue to have a major impact and benefit, both ecologically for the environment, and socio-economically for the surrounding community in a long-term period.
 
In the monitoring and seedling replanting activity carried out on Thursday (08/11), 70 replanting trees were planted to replace damaged seedlings from 24,575 seedlings planted due to waves and currents. The replanting was done using round bamboo to protect the seedlings. Prior to using bamboo, the survival rate of seedlings planted since August 2022 was only 49 percent. After using bamboo in October, the rate of seedling survival rose to 73 percent.
 
Monitoring and replanting activities are a manifestation of HARITA Nickel's seriousness in implementing the Memorandum of Understanding (MoU) on mangrove rehabilitation activities as part of the Corporate Social Responsibility (CSR) program initiated by the Coordinating Ministry for Maritime Affairs and Investment, the Ministry of Maritime Affairs and Fisheries, the Ministry of Environment and Forestry. Through the business unit of PT Trimegah Bangun Persada, HARITA Nickel signed the MoU on November 17, 2022 in Bali and is committed to jointly supporting cooperation in expanding the area, quality of mangrove rehabilitation and community empowerment to support compliance with the national target of 600,000 ha (Perpres 120/2020).
 
Director of Health, Safety and Environment Harita Nickel Tonny H Gultom explained, the objective to be achieved from this activity is to continue to maintain the ecosystem and mangrove forest resources in Obi Island on an ongoing basis, and engage many parties in the project. According to Tonny, collaboration of many parties is needed to succeed the mangrove rehabilitation program. Therefore, HARITA Nickel collaborates with academics and the government, as well as empowering the surrounding community in nursery activities, planting and monitoring mangrove conditions independently in the ground. " We hope that mangrove forests rehabilitated successfully will become a source of livelihood and welfare for the community," said Tonny.
 
Meanwhile, Dean of FPIK Khairun University Dr. Janib Ahmad explained that the coastal ecosystem in Soligi Village, especially mangroves, currently has a huge potential for blue carbon reserves, which is a natural carbon sink and store whose capacity exceeds mainland tropical forests. "One mangrove leaf can attract five to seven times the blue carbon emissions. This means that 1 ha of mangroves, with 40 percent cover, can attract 1000 tons of blue carbon. So, in 20 ha of mangroves, it can attract 20,000 tons of blue carbon," Janib explained.
 
In the last two years, the total area of mangrove land rehabilitated by HARITA Nickel has reached 22.49 ha across Obi Island and Bacan Island, South Halmahera.

HARITA Nickel's Commitment to Mangrove Rehabilitation in South Halmahera, Improving Blue Carbon Absorption

PULAU OBI, 18th October 2022 -- Harita Nickel officially operates the operation of PT&nbsp; Halmahera Jaya Ferronickel (PT HJF), a ferronickel smelter business unit located in the village&nbsp; of Kawasi, sub-district of Obi, Obi Island, South Halmahera, North Maluku, Tuesday (10/18).&nbsp;&nbsp; 
Head of External Relations of Harita Nickel Stevi Thomas said PT HJF is targeted to produce&nbsp; 780,000 metric tons of ferronickel per year. PT HJF's ferronickel smelter is planned to be in full&nbsp; production capacity by 2023.

Harita Nickel management, added Stevi, appreciated all the dedication and cooperation of PT HJF employees at this point. "We certainly have to cope with technical and non-technical&nbsp; challenges in the past three years. Such challenges however, have not been over yet. Only&nbsp; one line is operating whilst we still have 7 lines, we have to work hard. We expect all production&nbsp; lines will operate safely next year, " said Stevie.&nbsp;
Head of Technical Support Harita Nickel Rico Windy Albert confirmed that at this time, during&nbsp; the first production, the plant only operated one line of eight production lines. He further said&nbsp; the production target of the plant's several lines would be delivered in phases. It is planned&nbsp; that the operation of eight production lines of PT HJF will be performed in 1st semester of 2023.

Rico said the total manpower required during full operation of PT HJF is approx. 5,000&nbsp; workers. "Currently, with only one production line, PT HJF has employed 2,600 employees,"&nbsp; said Rico.&nbsp;
The manpower required to run the plant are from local workforces of South Halmahera in&nbsp; particular and generally from North Maluku. We conducted recruitment roadshow held in&nbsp; Labuha, South Halmahera and Laiwui village, sub-district of Obi, Obi Island. "About 65% of the&nbsp; hired workers are the origins of North Maluku," said Rico.
